Small Business Memberships are available to Corporations, Partnerships, S-Corporations, and Limited Liability Companies (LLCs) that have elected to be taxed as a Partnership, Corporation, or S-Corporation.
If your business is a Sole Proprietorship and files a Schedule C with your individual tax return, it is included under our Individual Audit Defense Membership. Limited Liability Companies (LLCs) that elect to be taxed as a Sole Proprietorship and file with a Schedule C are also included under our Individual Audit Defense Membership.
Business Size and Income:
Business entities with gross receipts exceeding $5 million and/or 10 partners, stockholders, beneficiaries, or members are not eligible for TaxAuditHelp Audit Defense Memberships.
Memberships must be purchased prior to your return being selected for audit or receiving a notice.
Tax Audit Help LLC agrees to provide audit defense services as described in the membership certificate in exchange for the applicable membership fee and adherence to all terms outlined in this agreement (referred to as the “Audit Defense Plan”).
DEFINITIONS
- “You” and “Your” refer to the member(s) as named on the membership certificate.
- “We,” “Us,” and “Our” refer to Tax Audit Help LLC, your provider of audit defense services.
- “IRS” refers to the Internal Revenue Service.
- “State” denotes your state tax authority.
Audit Definition: An Audit involves any IRS or state tax agency communication aimed at auditing, examining, reviewing, investigating, or verifying any detail on your IRS and state tax forms as listed on your membership certificate.
Audit Defense: Under the Audit Defense Plan, we will represent you in any income tax audit for the tax year specified on the membership certificate throughout the membership period, provided the audit notification is received within this timeframe. This plan includes:
- Managing all IRS or state communications about the audit.
- Appointing an Audit Representative(s) to oversee your case.
- Collaborating with you to formulate a defense strategy and acting on your behalf.
- Engaging in negotiations with the IRS or state up to and including the appeals process, ensuring no settlement is made without your final approval.
- Providing up to two hours of collection assistance if the audit results in additional taxes due.
Acceptance Date: The Acceptance Date is when Tax Audit Help LLC receives full payment for the membership. This date is noted on your membership certificate.
Statute of Limitations: The IRS typically has three years from the date of filing or the due date of the return, whichever is later, to audit your federal tax return. The state typically has four years. The Period of Membership starts on the Acceptance Date and continues until the end of the typical Statute of Limitations period for the applicable tax year.
Audit Representative(s): The Audit Representative(s) are those assigned by Tax Audit Help LLC to manage your audit case. These professionals are selected based on their specific area of expertise relevant to your case.
CONFIDENTIALITY
Your personal information such as your name and address will be kept confidential and not sold or disclosed to any third parties. Only staff of Tax Audit Help LLC will have access to your tax information.
MEMBER BENEFITS
Our Audit Defense includes defending any federal or state income tax audit from the initial notice through completion, as specified by the Audit Defense Plan Limitations and Exclusions. All aspects of audit communication, including scheduling of appointments and correspondence, will be managed by your assigned Audit Representative(s). We will represent you throughout the entire process, up to the highest level of appeals permitted under this agreement.
RESPONSIBILITIES
Our Responsibility: To provide professional audit defense services as outlined in this plan.
Your Responsibility: Upon receiving any audit notification from the IRS or State:
- Report the notice promptly at www.taxaudithelp.com and refrain from direct contact with the IRS or State. Use only your assigned Audit Representative(s) for all communications.
- Provide your signature(s) on the required IRS or State Power of Attorney forms and return them in a timely manner to your Audit Representative(s) to facilitate communication on your behalf. These forms must not be altered.
- Supply all necessary documentation promptly to support your income and expense claims as required for your defense.
- Adhere to the audit procedures and strategies recommended by us and cooperate fully to ensure the best possible defense. Failure to comply may limit our ability to effectively defend your audit and could lead to the termination of services.
PLAN LIMITATIONS AND EXCLUSIONS
Tax Audit Help LLC is committed to defending your rights during an audit, but does not provide legal representation in court, nor does it handle issues of civil or criminal fraud. Other limitations include not preparing or amending tax returns, managing bookkeeping tasks, or providing defense services for audits not reported timely or without sufficient cooperation. Exclusions include audits with pre-existing conditions before the Acceptance Date, unfiled tax returns, and entities exceeding the size or income thresholds specified.
TERMINATION OF MEMBERSHIP
This Agreement may be terminated by Tax Audit Help LLC if you breach any significant term, if your audit falls under an excluded category, or if you fail to cooperate in a way that materially affects the ability to complete our responsibilities. Termination can also occur if the membership fee is unpaid or refunded.
This Agreement is governed by the laws of the State of Florida, without regard to conflict of laws principles, and any disputes will be resolved through binding arbitration or in small claims court, as detailed further in the Agreement. This includes a waiver of any right to trial by jury or to participate in a class action lawsuit.

This arbitration provision and other terms of the agreement will survive any termination or expiration of the Agreement. If any part of these provisions is found unenforceable, it will be modified to reflect the parties’ original intent, while the remainder of the agreement remains in effect.
